1. Purpose and Parties

This Parental Consent Agreement and Media Release (this “Agreement”) is entered into between TeamThrive (“TeamThrive,” “we,” “our,” or “us”), a product of TeamThrive, LLC, a Delaware limited liability company, and the parent or legal guardian identified below (the “Parent”). It provides the verifiable parental consent required before a minor athlete (the “Athlete”) may participate on, or have a profile on, the TeamThrive Platform (the “Platform”).

This Agreement supplements, and should be read together with, our Terms of Service, our Privacy Policy, and our Acceptable Use and Community Safety Policy, each of which is incorporated by reference. Capitalized terms used but not defined here have the meanings given in the Terms of Service. If there is a direct conflict between this Agreement and another document regarding the consents given here for the Athlete, this Agreement controls with respect to those consents.

3. Authority and Representations

The Parent represents and warrants that the Parent is the parent or legal guardian of the Athlete and holds parental responsibility for the Athlete, and has full authority to enter into this Agreement and to provide the consents below on the Athlete’s behalf. The Parent understands that only athletes aged thirteen (13) and older may directly access the Platform; that an athlete who directly accesses the Platform may view only that athlete’s own profile, schedule, and features made available to athlete accounts; and that a profile for an athlete under thirteen (13) may exist only where it is created and managed by the Parent (or by a club or coach acting with the Parent’s documented consent).

4. Information We Collect About the Athlete and How We Use It

This Section, together with our Privacy Policy, describes our information practices for the Athlete so that the Parent can make an informed decision before giving consent.

Information we collect. Depending on the features used, we may collect the Athlete’s name, date of birth, and contact details; profile and athletic information (such as position, statistics, club or team, and schedule); photographs and video; communications sent through the Platform; and technical and usage information as described in the Privacy Policy.

How we use it. We use this information to create and operate the Athlete’s profile and to provide scheduling, roster management, team communications, and the other features the Parent enables.

Who we share it with. We share the Athlete’s information with the Athlete’s Club and coaches as directed through the Platform, and with service providers who process information on our behalf under contract. We do not sell the Athlete’s personal information, and we do not make it available to third parties for their own purposes except where the Parent gives a separate, specific consent (for example, the optional recruitment-visibility and promotional consents in Section 10).

Data minimization. We do not condition the Athlete’s participation on the Parent disclosing more information about the Athlete than is reasonably necessary to use the Platform.

5. Consent to Account Creation and Use

The Parent consents to the creation and administration of an account and profile relating to the Athlete, and acknowledges that the Parent is responsible for creating the account, for the information and content uploaded, for supervising the Athlete’s use of the Platform, and for all activity under the account.

6. Consent to Processing of the Athlete’s Personal Data

The Parent provides verifiable consent to TeamThrive’s collection, use, storage, and sharing of the Athlete’s personal data as described in this Agreement and the Privacy Policy, for the purposes described in Section 4.

COPPA. This consent is intended to satisfy the verifiable parental consent requirement of the U.S. Children’s Online Privacy Protection Act (“COPPA”) and its implementing rule for the Athlete.

GDPR / UK GDPR. Where the Athlete is in the European Economic Area or the United Kingdom and is below the age of digital consent set by applicable law (between 13 and 16, depending on the jurisdiction), this consent is given or authorized by the holder of parental responsibility for the Athlete for purposes of Article 8 of the EU General Data Protection Regulation and the UK GDPR. The Parent understands that consent is one lawful basis for processing and that other lawful bases may apply as described in the Privacy Policy.

State laws. This consent also serves as the consent of a parent or guardian required under applicable U.S. state privacy laws for the processing of a known minor’s personal information, including any consent required to process sensitive data.

Withdrawal. The Parent understands that this consent may be withdrawn at any time as described in Section 16, and that withdrawal does not affect processing carried out before withdrawal.

7. Health and Emergency Information

If the Parent chooses to provide health, injury, medical, or emergency-contact information about the Athlete, the Parent gives explicit consent for TeamThrive to process that information solely for the purposes for which it is provided, such as team administration and responding to an emergency. Such information is treated as sensitive (special category) data and is handled in accordance with the Privacy Policy. Providing this information is optional.

8. Media Release — Consent to Use of the Athlete’s Name, Image, and Likeness

The Parent consents to uploading the Athlete’s photographs, video, statistics, and other information to the Platform, and grants TeamThrive a worldwide, non-exclusive, royalty-free, sublicensable (to service providers acting on our behalf) license to host, store, reproduce, adapt, format, display, and transmit the Athlete’s name, image, likeness, voice, photographs, video, athletic performance, statistics, and biographical information (collectively, the Athlete’s “Likeness”) as necessary to operate the Platform and to provide the features the Parent enables, in accordance with the Terms of Service.

Scope and limits. This license is limited to operating the Platform and providing enabled features. It does not authorize use of the Athlete’s Likeness in external marketing or in recruitment visibility unless the Parent gives the corresponding optional consent in Section 10. TeamThrive is under no obligation to use the Athlete’s Likeness and owes no compensation for any use permitted here.

Revocability. Unlike a typical perpetual media release, this consent is revocable. The Parent may withdraw it as described in Section 16, after which TeamThrive will cease the affected use within a commercially reasonable time. The Parent understands that TeamThrive may be unable to recall or remove copies that have already been distributed, published, lawfully reshared by others within the Platform, or that TeamThrive is required to retain by law, and that already-produced promotional materials in circulation may not be recallable.

Representations. The Parent represents and warrants that the Parent holds all rights necessary to upload the Athlete’s content and to grant the license above, and that doing so does not violate the rights of any third party.

9. Optional Consents

The following consents are optional, off by default, given separately, and independently revocable. Initial each item that applies. Leaving an item blank means that consent is not given. Because these uses involve publication or disclosure of the Athlete’s Likeness beyond ordinary Platform operation, TeamThrive uses a higher-assurance method to verify the Parent’s consent to them.

______ Promotional use. I consent to TeamThrive using the Athlete’s Likeness or profile in TeamThrive marketing or promotional materials.

______ Recruitment visibility. I consent to enabling recruitment features that make the Athlete’s profile visible to coaches, scouts, or college programs. I understand this visibility is off by default and that I may disable it at any time.

10. Name, Image, and Likeness (NIL) and Eligibility Acknowledgment

The Parent understands that the use of a student-athlete’s name, image, or likeness may be subject to the rules of leagues, associations, athletic conferences, state law, and educational institutions, including rules concerning amateurism, recruiting, and NIL. This Agreement is not an NIL endorsement or commercial-representation contract and does not authorize any paid endorsement of a third party’s products or services. The Parent is solely responsible for determining whether any use of the Athlete’s Likeness, including promotional use, complies with those rules, and for obtaining any additional approvals required.

11. Acknowledgment Regarding Recruitment and Activities

The Parent acknowledges that TeamThrive is a software platform; that it is not an athletic agent or recruiter and does not guarantee discovery, recruitment, tryouts, scholarships, or any other opportunity; that it does not organize, supervise, or assume responsibility for any sporting activity or in-person interaction; and that it does not provide medical, training, or eligibility advice. The Parent has read and agrees to the Disclaimer and is solely responsible for supervising the Athlete’s use of the Platform and any resulting interactions.

12. Data Retention and Security

We retain the Athlete’s information for as long as the profile is active and as needed to provide the enabled features, and thereafter only as described in the Privacy Policy or as required by law, after which it is deleted or de-identified. We maintain reasonable administrative, technical, and physical safeguards designed to protect the Athlete’s information; no method of storage or transmission is completely secure.

13. Parental Rights

At any time, the Parent may: review the personal information we have collected from or about the Athlete; request that we correct or delete it; refuse to permit our further collection or use of it; and withdraw any consent given in this Agreement. The Parent may exercise these rights by contacting privacy@teamthrive.com or by using available in-Platform controls. The Parent also holds, and may exercise on the Athlete’s behalf, the data-subject rights described in the Privacy Policy, which may include rights of access, rectification, erasure, restriction, portability, and objection, depending on the Athlete’s location.

14. Withdrawal of Consent

Withdrawing consent does not affect the lawfulness of processing carried out before withdrawal. If the Parent withdraws consent to processing necessary to maintain the Athlete’s profile or account, TeamThrive may restrict, close, or delete the profile or account. TeamThrive will act on a withdrawal or deletion request within a reasonable period and as required by applicable law.

15. International Data Transfers and Supervisory Authorities

TeamThrive is based in the United States, and the Athlete’s information may be processed in the United States and other countries whose data-protection laws may differ from those of the Parent’s or Athlete’s country. Where required, we use appropriate safeguards for international transfers, such as the applicable Standard Contractual Clauses or the UK International Data Transfer Agreement, as described in the Privacy Policy. A Parent or Athlete in the European Economic Area or the United Kingdom also has the right to lodge a complaint with their local data-protection supervisory authority.

16. Verifiable Consent Method and Records

TeamThrive verifies that the person giving consent is the Athlete’s Parent using a method reasonably designed to do so in light of available technology, which may include a signed consent form, a monetary transaction with notification, a toll-free or video call with trained personnel, verification of government-issued identification, or another method permitted by applicable law. Where the Athlete’s personal information will be disclosed to or published for third parties (including under the optional consents in Section 10), we use a method offering a higher level of assurance. TeamThrive retains a record of the consent given and the method used in order to demonstrate consent as required by law.

17. Electronic Records and Signature

The Parent consents to receive this Agreement and related disclosures electronically and agrees that completing the verifiable-consent steps presented in the Platform, or signing below, constitutes the Parent’s valid and binding electronic signature under the U.S. ESIGN Act, the Uniform Electronic Transactions Act, and other applicable law.

18. Changes to This Agreement and Re-Consent

We may update this Agreement from time to time. If we make a material change to the ways we collect, use, or disclose the Athlete’s personal information, we will provide notice and, where required by law, obtain the Parent’s renewed consent before applying the change to previously collected information.

19. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, and subject to any mandatory protections of the Parent’s or Athlete’s country or state of residence.

20. Acceptance and Signatures

The Parent may accept this Agreement by signing below or, where presented electronically, by completing the verifiable-consent steps in the Platform. By doing so, the Parent confirms that the Parent has read and understood this Agreement and gives the consents indicated above.
